NSX Provides Information

Last week, NISER, in conjunction with the National Stock Exchange of Australia (NSX) held an information session at the Peregian Springs Golf Club.

This session benefited local business who wanted to learn more about the NXS and listing requirements plus benefits to their companies or organizations seeking to list.

NSX is an alternative stock market to the ASX and provides access to smaller companies wanting to publicly list their shares.

For companies not in a position to list on the ASX because of size or prohibitive costs, the NSX gives them the opportunity to trade their shares on a fully regulated market to assist them with capital raising, succession planning or other objectives.

Jamie White, an intellectual property and technology lawyer and Registered Trade Marks Attorney of Ffrench Commercial Lawyers, delivered a presentation titled, The Registered Facilitator.

He explained the NSX has appointed a number of registered facilitators to assist companies intending to list on the NSX. Examples of legal matters which a registered facilitator may attend to included corporate structuring, contractual reviews, employment and industrial relations issues, intellectual property audits and general due diligence and risk management work.

Jamie also gave details on a wide range of services which clients are looking for when they are planning to expand, rationalize their business or allow generational change. “These include a review of intellectual property assets contained in a business, ensuring these IP rights are fully protected and arranging appropriate licensing or other commercial documents,” he said.

Other areas of importance emphasized included the legal minefield for companies engaged in electronic commerce or even just using their website to provide information to potential customers.

“Very few businesses realize that what they say or do via the web or over the internet can have far-reaching legal consequences. Things which happen online carry similar legal risks to transactions in a paper environment,” Jamie said.

Other speakers were Lew Brennan, Chairman of NISER, Simon Gamble, Of Macquarie Bank Noosaville, who spoke on the role of a stock broker, Dan Ryan, of Managers and Directors, Brisbane who clarified the role of a NOMAD in the listing process, and Damian Isbister, Chief Operations Officer of MDFS Financial Group Ltd and Trader Dealer Online Pty Ltd, who enlightened the crowd on the subject of liquidity and how to trade shares online.
